Terms of service

General terms and conditions of ACCELERAS KG for trainings, seminars, workshops, consulting and lectures.

Version: October 2026

1

Scope

1.1

ACCELERAS KG, Rauhensteingasse 7/18, 1010 Vienna (“ACCELERAS”), offers in-person and online trainings, seminars, workshops, consulting and lectures by experienced trainers.

1.2

These general terms and conditions (“Terms”) apply to all services of ACCELERAS in the version valid when the contract is concluded. Customers and ACCELERAS are together referred to as the “Parties”.

1.3

These Terms apply to consumers within the meaning of the Austrian Consumer Protection Act (KSchG) and to entrepreneurs.

1.4

The customer’s own terms and conditions apply only if ACCELERAS accepts them in writing.

1.5

ACCELERAS may change these Terms. Changes to fees or to the scope of services require the customer’s consent. For existing contracts, changes are published on the website and sent by email at least 30 days before they take effect. If the customer does not object in writing within 30 days of receiving them, the changes are deemed accepted. If the customer objects in time, the previous version continues to apply.

2

Conclusion of the contract

2.1

ACCELERAS sets out the type, scope and cost of its services in a written offer. Offers and cost estimates are non-binding unless they are expressly marked as binding.

2.2

For a non-binding offer, the contract (“Order”) is concluded when ACCELERAS confirms it in writing or, failing that, when ACCELERAS starts to perform the service. A binding offer is accepted by written acceptance within the offer period. Later changes require written confirmation.

2.3

The scope, place and time of the services are set out in the Order.

2.4

The contract is concluded only with the client, regardless of the number of participants.

2.5

By ticking “I have read and accept the Terms”, the customer expressly accepts these Terms.

2.6

Consumers confirm by ticking a box that they have been informed of their right of withdrawal (section 18).

3

Subject of the contract

3.1

The objective of the services is set out in the Order. ACCELERAS does not guarantee that specific goals or results will be achieved. Written reports and protocols are not expert opinions unless this is expressly agreed.

3.2

Where only a general framework is agreed, ACCELERAS is free in how it designs the service and may adapt training content to an extent that is reasonable for the customer.

3.3

Unless agreed otherwise, ACCELERAS decides who delivers the service and may engage qualified third parties, for whom it is liable as for its own staff. Third parties engaged at the customer’s request act in the customer’s name and for the customer’s account and are not agents of ACCELERAS. ACCELERAS does not provide legal or tax advice; the customer arranges this itself.

4

Cooperation of the customer

4.1

The customer provides all information, data and documents needed for the Order completely and in good time and discloses all relevant circumstances. Additional costs caused by incorrect, incomplete or late information are borne by the customer and may be invoiced separately.

4.2

The customer checks the material it provides for accuracy and for third-party rights. ACCELERAS is not obliged to check it. The customer indemnifies ACCELERAS against claims by third parties arising from such material.

4.3

The customer grants ACCELERAS a free, non-exclusive right, limited to the duration of the Order, to use the content it provides for fulfilling the Order.

4.4

Unless agreed otherwise, the customer provides the venue for events at its own expense.

4.5

The customer ensures that the work can take place without disruption. If it provides the venue, it also provides suitable audio and video equipment for the expected number of participants. ACCELERAS staff may carry out a technical test beforehand and must be given access to the venue. Any specialist equipment required is listed in the offer.

6

Dates and deadlines

6.1

Trainings and workshops take place on the date set out in the Order.

6.2

For other consulting services, a reasonable period applies unless a date is fixed.

6.3

Force majeure (such as strikes, lockouts, official orders, pandemics or disruption of telecommunications) extends deadlines for its duration. ACCELERAS informs the customer of any delay. The customer’s right to withdraw from the contract in the event of an unreasonable delay is not affected.

6.4

Delays caused by the customer, for example late cooperation, extend deadlines and postpone agreed dates accordingly.

6.5

If ACCELERAS is in delay, the customer may withdraw from the contract after setting a grace period of at least 14 days in writing and announcing the withdrawal.

7

Cancellation and changes by the customer

7.1

For events on a fixed date, a cancellation fee of 30 % of the agreed total price applies up to 8 weeks before the event.

7.2

From 8 weeks up to 2 weeks before the event, the cancellation fee is 50 % of the agreed total price.

7.3

Later than 2 weeks before the event, the full agreed total price is payable.

7.4

Cancellations must be made by email or in writing.

7.5

If the service cannot be delivered for reasons on the customer’s side (for example, participants do not attend or there is no access to the venue), the full fee is payable.

7.6

Requests to change the date, content or location require the approval of ACCELERAS. If they cause additional work, the price may be adjusted.

8

Cancellation and postponement by ACCELERAS

8.1

If an event cannot take place because the trainer is ill, because of force majeure or because of other unforeseeable events, there is no right to performance. ACCELERAS is not liable for travel or accommodation costs, loss of working time, indirect damage or claims of third parties.

8.2

ACCELERAS informs the customer promptly by phone or email and offers an alternative date. If no alternative date suits the customer, the fee paid is refunded in full.

8.3

If a stated minimum number of participants is not reached, ACCELERAS may cancel the event up to 3 days beforehand. The customer is informed and receives a credit for the fee paid, which is offset against the next booking or refunded on request.

8.4

Trainings take place in person unless agreed otherwise. If in-person delivery is impossible or inadvisable because of force majeure (for example a pandemic or official restrictions), ACCELERAS may switch to an online format. The customer is informed and may withdraw from the contract within 3 days; if it does not object, the change is deemed approved, and there is no refund or price reduction.

9

Liability

9.1

ACCELERAS prepares its content with great care. Its services are advisory, and success is not guaranteed. ACCELERAS accepts no liability for the correctness, currency or completeness of content, including consequential damage.

9.2

Where ACCELERAS is liable, its liability is limited to intent and gross negligence. Liability for slight negligence (except for personal injury and for main obligations towards consumers), for atypical damage, loss of profit, consequential damage caused by defects, indirect damage and damage suffered by third parties is excluded.

9.3

Except for personal injury, liability is limited to the value of the respective Order.

9.4

For business customers, claims for damages expire six months after the customer becomes aware of the damage and of the party responsible, and in any case two years after the event giving rise to the claim.

10

Warranty

10.1

Services are delivered by experienced trainers according to the current state of knowledge. Content may be adapted without fundamentally changing the training, and trainers may be replaced unless agreed otherwise; this is not a defect.

10.2

Business customers must report defects in writing, with a description, within 7 days of becoming aware of them; otherwise the service is deemed accepted, and claims under warranty and for damages are excluded. The presumption in § 924 ABGB does not apply to business customers, who must prove that ACCELERAS is at fault.

10.3

If a complaint is justified and made in time, the customer is primarily entitled to improvement. ACCELERAS remedies the defect within a reasonable period, and the customer allows the necessary review. If ACCELERAS culpably fails to remedy the defect within a reasonable grace period, the customer is entitled to a proportionate price reduction. Costs of third parties engaged by the customer although ACCELERAS was willing to remedy the defect are borne by the customer.

10.4

Instead of improvement, the statutory rights to rescission or price reduction apply only if improvement is impossible or would involve disproportionate effort.

10.5

ACCELERAS gives no warranty for content provided by the customer. Defects caused solely by incorrect information from the customer give rise to no warranty claim.

11

Prices and payment

11.1

Prices are exclusive of statutory VAT unless stated otherwise.

11.2

Unless agreed otherwise in writing, invoices are due without deduction within 14 days of receipt.

11.3

ACCELERAS may request an advance payment of up to 30 % of the total price when confirming the Order and start work only after receiving it. The balance is due once the service has been delivered in full.

11.4

For ongoing consulting, ACCELERAS may issue interim invoices and request advances according to progress. If the customer ends the contract early, or the service cannot be completed for reasons on the customer’s side, the services delivered up to that point are invoiced at the agreed hourly rate.

11.5

The customer may set off only claims that have been established by a court or acknowledged by ACCELERAS in writing. Consumers may also set off claims if ACCELERAS becomes insolvent and counterclaims that are legally connected with their obligation.

12

Travel and external costs

12.1

Travel costs and expenses for activities in Vienna are included. Outside Vienna, travel by car is charged at the official Austrian kilometre allowance (amtliches Kilometergeld) valid when the contract is concluded, plus other travel costs (hotel, flight, first-class rail, taxi and the like) at cost, unless the customer pays them directly. Travel time outside Vienna is charged at EUR 130 for each hour or part of an hour.

12.2

External costs such as room hire, equipment and catering are not included unless agreed. If ACCELERAS arranges them, it charges a handling fee of 15 % on the external costs and provides a cost estimate beforehand.

13

Late payment

13.1

In the event of late payment, default interest of 4 % a year applies from the due date; for business customers, default interest is 9 percentage points above the base rate.

13.2

The customer reimburses reminder and collection costs where these are necessary for enforcing the claim. Further claims remain unaffected.

13.3

In the event of default, all services already delivered become due, and ACCELERAS continues its work only once the arrears have been settled.

14

Duration and termination

14.1

The contract normally ends when the Order has been completed.

14.2

Either party may terminate the contract at any time without notice for good cause.

15

Confidentiality and data protection

15.1

ACCELERAS treats all data and information as confidential, also after the end of the contract, unless the law or an authority requires disclosure. ACCELERAS processes personal data to the extent needed for the contract. Details are in our privacy policy.

16

Audio and video recordings

16.1

Seminars and workshops may be recorded only with the prior written consent of ACCELERAS. Recording trainings delivered online is not permitted.

17

Customers as references

17.1

Customers that are not natural persons allow ACCELERAS to name them as a reference in print and online communication, including their name and logo, a short description of the project and of the services provided, and quotes.

17.2

The customer may withdraw this consent at any time in writing, signed for the company. Material that has already been published cannot always be withdrawn; no claims arise from this.

18

Right of withdrawal for consumers

18.1

Consumers who conclude a contract online, through the website or exclusively by email may withdraw from it within 14 days without giving reasons.

18.2

The withdrawal period is 14 days from the day on which the contract is concluded.

18.3

To withdraw, the consumer must inform ACCELERAS KG, Rauhensteingasse 7/18, 1010 Vienna, of the decision by a clear statement, for example by letter or by email to contact@acceleras.io.

18.4

Sending the notice before the period ends is sufficient.

18.5

ACCELERAS refunds all payments received within 14 days of receiving the notice of withdrawal, using the same means of payment, at no cost to the consumer unless expressly agreed otherwise.

18.6

If the consumer asked for the service to begin during the withdrawal period, they pay an amount proportionate to the services provided up to the withdrawal.

18.7

The right of withdrawal ends when ACCELERAS has fully performed the service after the consumer expressly agreed to the start of performance and acknowledged that they lose their right of withdrawal on full performance.

19

Applicable law and place of jurisdiction

19.1

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of private international law. For consumers, this choice of law does not remove the protection of mandatory provisions of the country in which they have their habitual residence.

19.2

The court with subject-matter jurisdiction in Vienna has exclusive jurisdiction. For consumers, the statutory rules on jurisdiction apply.

19.3

Unless agreed otherwise, the place of performance is Vienna, the registered office of ACCELERAS.

20

Final provisions

20.1

Each party bears the taxes, levies and fees that arise for it from the contract.

20.2

Changes and additions to the contract must be made in writing; this also applies to waiving the written-form requirement. Individual written agreements take precedence over these Terms.

20.3

If a provision of these Terms is or becomes invalid, the remaining provisions remain in force. The invalid provision is replaced by a valid one that comes closest to the intention and economic purpose of the Parties.

20.4

“Third parties” are all natural or legal persons that are legally distinct from the Parties.
